Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and FLOODEV SOFTWARE TECHNOLOGY LTDA ("SawOptima", "Company", "we"), headquartered in Brazil, governing access to and use of the SawOptima platform. By registering or using our services, you acknowledge that you have read, understood, and fully accepted these Terms. If you do not agree, do not use the platform.

1. Definitions

For the purposes of these Terms: • "Platform": the SawOptima web system, accessible via browser, including all its features, algorithms, and interfaces. • "Service": the log cutting optimization service provided by the platform, including calculations, visualizations, and reports. • "User": any individual or legal entity that registers and uses the platform. • "Account": the User's individual registration on the platform, protected by access credentials. • "User Content": any data, parameters, or settings entered by the User on the platform. • "Subscription": the plan contracted by the User for access to platform features.

2. Service Description

SawOptima is a Software as a Service (SaaS) platform specialized in log cutting optimization for the lumber industry. The Service includes: • Optimization calculations based on advanced mathematical algorithms. • Interactive graphical visualization of cutting plans via SVG diagrams. • Support for multiple cutting strategies (greedy, round-robin, individual maximization). • Parts library for saving and reusing frequent dimensions. • Multilingual interface (Portuguese, English, Spanish, Italian, French, Chinese). Results generated by the platform are computational suggestions based on parameters provided by the User and do not replace professional analysis and judgment. SawOptima is not responsible for cutting decisions made solely based on platform results.

3. Account Registration and Security

To use the platform, the User must create an account by providing truthful, complete, and up-to-date information. The User is fully responsible for: • Maintaining the confidentiality of their access credentials (email and password). • All activities conducted under their account. • Immediately notifying SawOptima of any unauthorized use of the account or any security breach. SawOptima reserves the right to suspend or terminate accounts that violate these Terms or that present suspicious activities of fraud or misuse.

4. Subscription Plans and Payment

Access to platform features requires the purchase of a subscription plan. The applicable conditions are: • Plans and prices vary according to production volume and the User's region. • Payments are securely processed by Stripe, Inc., in compliance with PCI DSS standards. • Subscriptions are automatically renewed at the end of each period, unless previously canceled by the User. • Refunds are granted exclusively in cases provided by the consumer protection legislation applicable in the User's country. • SawOptima reserves the right to change plan prices with 30 days' prior notice. Price changes do not affect current subscriptions until the next renewal. • Credit System: access to cutting optimizations is measured in credits. Each optimization consumes 10 credits. Credits have no expiration date and are fully cumulative — unused credits in one month carry over to the following period. When upgrading a plan, the credit difference between plans is credited immediately to the User's account. In case of a downgrade, already accumulated credits are fully retained. Credits purchased in add-on packs also do not expire.

5. User Obligations

By using the platform, the User agrees to: • Use the Service exclusively for lawful purposes and in compliance with these Terms. • Not reverse engineer, decompile, or attempt to extract the source code of the optimization algorithms. • Not use bots, automated scripts, or similar tools to access the platform in an unauthorized manner. • Not share access credentials with third parties. • Not attempt to access restricted areas of the platform or other users' accounts. • Not use the Service in a manner that could compromise the security, availability, or performance of the platform.

6. Intellectual Property

All intellectual property rights related to the SawOptima platform, including but not limited to software, algorithms, source code, interface, design, brand, logo, content, and documentation, are the exclusive property of FLOODEV SOFTWARE TECHNOLOGY LTDA, protected by Brazilian legislation and international intellectual property treaties. The subscription grants the User a limited, non-exclusive, non-transferable, and revocable license to use the platform during the subscription period. This license does not confer any ownership rights over the software or its components.

7. Service Availability

SawOptima strives to maintain the platform available continuously. However, we do not guarantee uninterrupted availability of the Service. The platform may be temporarily unavailable due to: • Scheduled maintenance (communicated in advance whenever possible). • Platform updates and improvements. • Force majeure events, third-party infrastructure failures, or circumstances beyond our control. SawOptima shall not be held liable for losses or damages arising from temporary unavailability of the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law: • The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied. • SawOptima does not guarantee that optimization results will be suitable for all situations, wood types, or operational conditions. • SawOptima shall not be liable for direct, indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use the platform. • SawOptima's total liability, under any circumstances, is limited to the amount actually paid by the User in the 12 months preceding the event giving rise to the claim. The above limitations do not apply in cases where the User's local legislation does not permit such exclusions or limitations.

9. Disclaimer of Warranties

SawOptima expressly disclaims any warranty that: • Optimization results will be accurate, complete, or fit for specific purposes. • The platform will be free from errors, interruptions, or security vulnerabilities. • Results will meet the User's specific expectations or requirements. The User acknowledges that results generated by the platform are auxiliary decision-support tools and that final responsibility for cutting decisions remains exclusively with the User, who must consider actual wood conditions, equipment, and operation.

10. Indemnification

The User agrees to indemnify, defend, and hold harmless SawOptima, its directors, employees, representatives, and partners from any claims, damages, losses, costs, or expenses (including attorney's fees) arising from: • Violation of these Terms by the User. • Improper or unlawful use of the platform by the User. • Violation of third-party rights by the User. • Data or information provided by the User to the platform.

11. Data Protection and Privacy

The processing of personal data by SawOptima is governed by our Privacy Policy, which constitutes an integral part of these Terms. SawOptima is committed to processing Users' personal data in compliance with the LGPD (Law No. 13,709/2018), the GDPR (Regulation EU 2016/679), the CCPA/CPRA, and other applicable data protection legislation.

12. Termination

These Terms remain in effect as long as the User maintains an active account on the platform. • The User may terminate their account at any time through profile settings or by requesting via the support email. • SawOptima may suspend or terminate the User's account, at its sole discretion, in case of violation of these Terms, fraudulent activity, or abusive use of the platform. • After termination, the User loses access to the platform and all features associated with their account. • Clauses that, by their nature, should survive termination (intellectual property, limitation of liability, indemnification) shall remain in effect.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. For the resolution of any dispute arising from these Terms, the parties elect the courts of the Company's headquarters, waiving any other, however privileged. For Users in the European Union: nothing in this clause prejudices the rights conferred by the consumer protection legislation of the User's Member State of residence. For Users in California, USA: the rights conferred by the CCPA/CPRA and other applicable state legislation are fully respected.

14. General Provisions and Contact

Final provisions: • If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. • SawOptima's failure to exercise any right provided in these Terms does not constitute a waiver of that right. • These Terms constitute the entire agreement between the parties regarding the use of the platform, superseding any prior agreements. • Official communications related to these Terms will be sent to the email registered by the User.
